This CLE course will guide business and technology counsel in drafting contracts for cloud computing services customers. The program will focus on the key terms in these contracts and discuss how they differ from traditional software license terms. The panel will address some of the most common mistakes attorneys make in cloud computing contracts.
Faculty

Ms. Polera is an experienced negotiator for B2B enterprise digital transformation deals. Her practice also involves end-to-end counseling on privacy, data security, and data protection terms, from drafting Microsoft’s core standard data protection terms to negotiating custom commitments with our most strategic enterprise customers. Having held prior roles at Microsoft in both finance and field sales, Ms. Polera also has a keen understanding of the competitive landscape in SaaS/PaaS/IaaS and traditional software.

Mr. Overly focuses his practice on drafting and negotiating technology related agreements, software licenses, hardware acquisition, development, disaster recovery, outsourcing agreements, information security agreements, e-commerce agreements, and technology use policies. He counsels clients in the areas of technology acquisition, information security, electronic commerce, and on-line law. He is the co-author of A Guide to IT Contracting: Checklists, Tools and Techniques (CRC Press, 2012).
